On behalf of our client, a leading financial services organisation, we are seeking an experienced Company Secretary to join their executive team in Sydney. This is a key leadership role, responsible for overseeing corporate governance, ensuring regulatory compliance, and acting as the critical link between the board and senior management.

Key Responsibilities:

Board Management: Taking precise minutes during live board meetings, coordinating all Board processes, and overseeing the induction and training of Directors. Ensuring Board effectiveness through regular reviews.
Document Preparation: Drafting essential board documents, including charters, succession plans, and constitutional amendments, while liaising with external legal teams to ensure accuracy and compliance.
Board-Management Liaison: Managing the complexities between the Board and senior management, particularly in addressing varying levels of experience among directors.
Regulatory Compliance: Maintaining corporate records, liaising with key regulators (APRA, ASIC, ATO), and ensuring timely and accurate submissions.
Corporate Governance: Providing expert advice on legal and regulatory requirements, ensuring robust Board policies and procedures are in place and followed.

Desired Skills and Competencies:
Significant experience in corporate governance, ideally within an APRA-regulated institution.
Advanced communication, organisational, and analytical skills with high attention to detail.
Legal qualifications and expertise in applying legislation will be highly regarded.
